TELURE THIRD-PARTY ACCESS LINK TERMS

PART I — TERMS APPLYING TO ALL RECIPIENTS ## 1. WHO YOU ARE AND WHO WE ARE ### 1.1 You received this link from a facility, not from us A climbing facility that uses the Telure software (the "Facility") generated this link and sent it to you. TELURE LLC ("Telure") did not select you, did not decide to send you anything, and does not know why the Facility gave you access. ### 1.2 You are not our customer You have no account with Telure, pay us nothing, and are not a party to any agreement between Telure and the Facility. We owe you no duties beyond those stated in these Terms, and these Terms create no relationship of reliance, advice, or professional service between us. ### 1.3 Acceptance By opening the link or accessing anything through it, you agree to these Terms. If you do not agree, close the page and do not access the content. If you are acting on behalf of an organization, you confirm you have authority to accept on its behalf, and "you" means that organization.

2. THE LINK ITSELF ### 2.1 Scope The link gives access only to the specific content, date range, and functions the Facility selected when it generated the link. Attempting to reach anything beyond that scope is prohibited. ### 2.2 Expiry and revocation The link expires on the date the Facility set. The Facility may revoke it at any time, without notice to you and without reason. Telure may disable it if we believe it is being misused or if required by law. Neither of us owes you continued access. ### 2.3 Anyone holding the URL may be able to use it Access is controlled by possession of the link. Anyone who obtains the URL may be able to reach the same content for as long as the link remains valid. Do not forward it, post it, paste it into a shared document or ticketing system, or store it anywhere others can retrieve it. If you believe the link has been exposed, tell the Facility immediately. ### 2.4 Your access is logged Telure records when this link is accessed, from what IP address, and what is viewed or submitted. That log is visible to the Facility. We do this because access to a facility's records is itself part of the record. ### 2.5 No account, no support, no availability commitment We provide no support to you, no uptime commitment, and no guarantee the link will function at any given time. Questions about the content go to the Facility.

3. WHAT THE CONTENT IS, AND WHAT IT IS NOT Read this section. It is the reason these Terms exist. ### 3.1 The records are the Facility's, entered by the Facility's staff Everything you can see was created by the Facility's personnel recording their own observations. Telure did not perform any inspection, did not observe the Facility, and did not verify, validate, audit, correct, or review any entry. ### 3.2 No representation as to the records TELURE MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, AS TO THE ACCURACY, COMPLETENESS, TRUTHFULNESS, CURRENCY, RELIABILITY, OR ADEQUACY OF ANY CONTENT ACCESSIBLE THROUGH THIS LINK. ### 3.3 Not a safety determination or certification The Telure software is a record-keeping tool. It does not perform inspections, does not determine that any equipment, surface, structure, or facility is safe or serviceable, does not certify compliance with any law, regulation, standard, industry practice, or insurance requirement, and does not replace any manufacturer's documentation. The presence of records does not mean anything was inspected competently, and their absence does not mean it was not. ### 3.4 Gaps are shown on purpose Where a scheduled check has no corresponding entry, the record displays a gap. A gap is a deliberate and accurate feature of the record, not an error, an omission, or a failure of the software. Records also display two distinct times per entry, the time an observation was captured and the time it was recorded, and show the full amendment history for any corrected entry. These are design choices intended to make the record honest, and they should be read as such. ### 3.5 No reliance YOU MUST NOT RELY ON TELURE, ON THE SOFTWARE, OR ON THESE RECORDS AS A BASIS FOR ANY DETERMINATION ABOUT SAFETY, RISK, COMPLIANCE, INSURABILITY, PRICING, COVERAGE, FITNESS FOR USE, OR ANY OTHER MATTER. Any conclusion you draw from this content is yours, reached using your own judgment and your own professional standards. Telure disclaims any duty of care to you, including any duty arising from negligent misrepresentation, in connection with your access to or use of this content.

4. CONFIDENTIALITY AND YOUR USE OF THE CONTENT ### 4.1 This is the Facility's confidential information Treat everything accessible through this link as confidential information of the Facility. ### 4.2 Permitted use Use it only for the purpose for which the Facility gave you access. Do not use it for any other purpose. ### 4.3 Prohibited use You may not: disclose or distribute the content outside your organization, except as the Facility authorizes in writing or as legally required; use it to market, prospect, or solicit; use it to train any machine learning model; scrape, bulk-download, or access it by automated means; attempt to access content outside the link's scope; attempt to identify, contact, or investigate any individual named in the records; or reverse engineer, probe, or test the security of the software. ### 4.4 Anything you download becomes yours to protect If you export, download, print, or copy any content, you become independently responsible for safeguarding it, for how long you keep it, and for compliance with every law that applies to it. Telure has no control over and no responsibility for content once it leaves the software.

5. PERSONAL INFORMATION ### 5.1 What the records may contain Records may include names of Facility staff, descriptions of incidents, injury information, and photographs. Where the Facility runs youth programming, records may describe minors. ### 5.2 Your obligations You must handle any personal information you access or download in accordance with all applicable privacy and data protection law, use it only for the purpose for which access was granted, and not retain it longer than that purpose requires. ### 5.3 Roles Telure processes this information on the Facility's behalf. If you download or retain any of it, you are acting on your own account with respect to that copy, not on ours.

6. LIABILITY ### 6.1 Disclaimer THE LINK AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. ### 6.2 Limitation TELURE'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THIS LINK, ITS CONTENT, OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100), REGARDLESS OF THE THEORY OF LIABILITY. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, OR DATA. ### 6.3 Your indemnity You will defend, indemnify, and hold harmless Telure and its members, officers, employees, and contractors from any claim, and resulting damages, losses, liabilities, settlements, and reasonable attorneys' fees, arising from your breach of these Terms, your disclosure or misuse of content accessed through the link, or your handling of personal information after it leaves the software.

7. GENERAL 7.1 Governing law and venue. North Carolina law governs, without regard to conflict of laws principles. The exclusive venue is the state and federal courts in Wake County, North Carolina.

7.2 No third-party beneficiaries. These Terms create no rights in anyone who is not a party.

7.3 Relationship to other agreements. These Terms govern only your access through this link. They do not modify any agreement between Telure and the Facility, or between you and the Facility.

7.4 Changes. We may update these Terms. The version in effect when you access the link governs that access.

7.5 Severability and waiver. If any provision is unenforceable it will be modified to the minimum extent necessary and the rest continues. Failure to enforce is not waiver.

7.6 Survival. Sections 3, 4, 5, 6, and 7 survive expiry or revocation of the link.

PART II — ADDITIONAL TERMS FOR REVIEWER ACCESS These apply if your link provides read-only access to a facility's records, for example as an insurance broker, underwriter, consultant, auditor, or attorney. ## 8. READ-ONLY You may view and, where the interface provides it, export within the granted scope. You cannot create, edit, delete, or amend any record. No one can, including the Facility and Telure. Submitted records are immutable by design. ## 9. NO INSURANCE, LEGAL, OR RISK RELATIONSHIP ### 9.1 We are not a party to your transaction Telure sells software to the Facility. We are not a party to any insurance policy, application, submission, binder, quote, renewal, audit, or claim involving the Facility, and providing this link does not make us one. We take no position on whether the Facility should be insured, at what price, or on what terms. ### 9.2 Your professional judgment is your own Any underwriting, pricing, coverage, audit, or advisory determination you make is yours alone, based on your own standards and diligence. The existence, completeness, or apparent quality of these records is not a substitute for your own inspection, investigation, or professional judgment. ### 9.3 No warranty of adequacy for your purpose We do not represent that these records satisfy any underwriting requirement, regulatory obligation, audit standard, evidentiary standard, or professional standard applicable to you, or that they are sufficient or admissible in any proceeding. ## 10. WHAT THE SOFTWARE DOES GUARANTEE So that the disclaimers above are not read to mean nothing is verifiable, the following are factual statements about how the software operates, and you may rely on them as descriptions of the system, though not as any representation about the underlying facility or its equipment:

(a) A submitted record entry cannot be edited or deleted through the software by any user at any permission level, including Telure's own personnel.

(b) Corrections appear as new, timestamped amendment entries that reference the original. The original remains visible.

(c) Each entry carries a server-generated timestamp. Where an entry was captured offline, both the capture time and the synchronization time are recorded and displayed.

(d) Each entry is attributed to an individually credentialed user account.

(e) Exports display periods with no recorded activity as gaps rather than omitting them, and Telure will not suppress, alter, or backdate any record or gap indicator on any party's request.

These statements describe the software. They are not a representation that any person used it honestly, that the observations recorded were competent, or that the credentialed user was the person who made the entry.

PART III — ADDITIONAL TERMS FOR VENDOR TASK LINKS These apply if your link permits you to record something, for example as a service technician confirming completed work. ## 11. YOU ARE CREATING A PERMANENT RECORD Read this before you submit anything. ### 11.1 Immutability Anything you submit becomes a permanent entry in the Facility's records. It cannot be edited or deleted afterward by you, by the Facility, or by Telure. There is no undo. If something you submitted was wrong, contact the Facility, which can add a correcting entry. The original remains visible alongside it. ### 11.2 Attribution Your entry is recorded under your name and the identity the Facility assigned to this task, together with a server-generated timestamp. You confirm that you are that person and that you are not submitting on anyone else's behalf. ### 11.3 This record may be used as evidence Entries of this kind are routinely produced in insurance reviews, regulatory inspections, and litigation, and a third-party attestation that work was performed carries particular weight precisely because it did not come from the Facility itself. Treat what you submit accordingly. ### 11.4 Accuracy You will record only work you personally performed or personally supervised, and observations you personally made. Do not confirm work you did not do, did not complete, or did not verify. ## 12. SCOPE OF WHAT YOU CAN DO ### 12.1 Single task The link is scoped to the specific task the Facility assigned. It grants no access to other records, other equipment, or anything outside that task. ### 12.2 What you cannot decide You cannot return equipment to service through this link. You may record that work was completed. The decision to return any equipment to service rests with the Facility and requires a separately authenticated action by Facility personnel. Nothing you submit constitutes a determination that any equipment is safe or fit for use. ### 12.3 Photographs Where the task requires a photograph, it becomes part of the permanent record on the same terms. Do not photograph people, and do not include anything beyond what documents the work. ## 13. YOUR OWN OBLIGATIONS ARE UNCHANGED Your professional obligations, certifications, manufacturer authorizations, and any agreement between you and the Facility are unaffected by these Terms. Recording something here does not satisfy any obligation you have to provide documentation directly to the Facility, to a manufacturer, or to anyone else.
